These Terms and Conditions ("Terms") govern your access to and use of BidPro and any other services operated by Versyn AI LLC ("Versyn AI," "we," "us," or "our") (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your business. By using the Service, you represent that you meet these requirements. The Service is intended for business use by contractors and contracting companies.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.
You may not share your account with others or create accounts on behalf of third parties without authorization.
Access to the Service requires a paid subscription after the free trial period. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate for your selected plan.
Free Trial: New accounts receive a 7-day free trial. No charge is made until the trial ends. You may cancel at any time during the trial without being charged.
No Refunds: All subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Service through the end of your current billing period and will not be charged again. We do not provide pro-rated refunds for unused time. In the event of a billing error or duplicate charge, please contact us and we will resolve it promptly.
Price Changes:We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
Payments are processed by Stripe. Your payment information is subject to Stripe's privacy policy and terms of service.
The Service uses artificial intelligence to generate bid estimates, line items, pricing, and other content based on information you provide ("AI-Generated Content"). You acknowledge and agree that:
The AI tools are provided to assist you — final judgment and professional responsibility for all bids remain with you.
You agree not to use the Service to:
We reserve the right to suspend or terminate accounts that violate these restrictions without notice or refund.
You retain ownership of all data and content you submit to the Service, including customer information, bid content, and uploaded files. By using the Service, you grant Versyn AI a limited license to store, process, and transmit your content solely as necessary to provide the Service.
You are responsible for ensuring that any customer data you enter into the Service has been collected lawfully and that you have the right to use it in connection with the Service.
We do not sell or share your data or your customers' data with third parties for marketing purposes. See our Privacy Policy for full details.
The Service may send SMS text messages to your customers on your behalf when you choose to deliver a bid via SMS. By using the SMS feature, you agree to the following:
SMS messages sent through BidPro (operated by Versyn AI LLC) contain bid and estimate notifications from the contractor to their customer. Messages include a link for the customer to review and respond to a bid.
A customer is opted in to receive SMS messages when a contractor enters their phone number and sends them a bid via SMS through the Service. You, as the contractor, are responsible for ensuring you have obtained the customer's consent to receive SMS messages before using this feature.
Message frequency is low — typically one (1) message per bid sent. Additional messages may be sent if a bid is resent or updated.
Reply STOP to unsubscribe from further SMS messages at any time. After opting out, one confirmation message will be sent and no further messages will be delivered.
Additional opt-out keywords: STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT.

Message and data rates may apply depending on your mobile carrier and plan.
Carriers are not liable for delayed or undelivered messages.
Phone numbers collected through the Service are never used for marketing, promotional, or third-party SMS campaigns.

You may cancel your account at any time through the billing settings in the Service. Cancellation takes effect at the end of your current billing period.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion, with or without notice. In the event of termination for cause, no refund will be issued.
Upon termination, your right to access the Service ceases. We may retain your data for up to 30 days before deletion, except where required by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, VERSYN AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST BUSINESS, LOST REVENUE, OR DATA LOSS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Informal Resolution: Before initiating any formal dispute, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the issue informally.
Binding Arbitration:If the dispute is not resolved informally, you and Versyn AI agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Washington State or remotely. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
No Class Actions: You and Versyn AI agree that all disputes will be resolved on an individual basis only. You waive any right to bring or participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against Versyn AI.
Exceptions: Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. If changes are material, we will notify you by email or by a notice within the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Versyn AI regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
